Introduction

Welcome to the AI Agent Backtesting Platform (the "Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Spooky Labs, Inc. ("Spooky Labs," "we," "our," or "us") governing your access to and use of the Platform, including any content, functionality, and services offered on or through the Platform.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

Definitions

  • "User," "you," or "your": Any individual or entity that accesses or uses the Platform.
  • "Agent": Any trading algorithm, strategy, or code submitted to the Platform for evaluation.
  • "Content": All information, data, text, code, software, graphics, and other materials uploaded, downloaded, or appearing on the Platform.
  • "Intellectual Property Rights": Patents, copyrights, trademarks, trade secrets, and any other proprietary rights.

User Accounts

Account Creation

To access certain features of the Platform, you must create an account. When you create an account, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Platform Use and Restrictions

Permitted Use

Subject to your compliance with these Terms, Spooky Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes.

Prohibited Activities

You agree not to:

  • Use the Platform in any way that violates any applicable law or regulation
  • Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Platform
  • Engage in any data mining, scraping, crawling, or similar data gathering methods
  • Upload malicious code or attempt to overcome security measures
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Platform to develop competing products or services
  • Submit agents designed to manipulate or abuse the Platform evaluation system
  • Exceed reasonable usage limits as determined by Spooky Labs

Agent Submission and Evaluation

Submission Requirements

All agents submitted to the Platform must:

  • Comply with our technical specifications and documentation
  • Not contain malicious, harmful, or unauthorized code
  • Not violate any third-party rights
  • Not attempt to circumvent Platform security or resource limitations

Evaluation Process

We reserve the right to:

  • Accept or reject any agent submission at our sole discretion
  • Modify the evaluation parameters and methodologies at any time
  • Remove any agent from the Platform for any reason
  • Adjust or terminate the leaderboard or ranking system at any time

Resource Limitations

Your agent submissions and evaluations are subject to the following limitations:

  • CPU and memory allocations as specified in our documentation
  • Execution time limits
  • Storage limitations
  • Number of submissions per user/time period

Spooky Labs reserves the right to adjust these limitations at any time without prior notice.

Intellectual Property

Your Content

You retain ownership of any Intellectual Property Rights that you hold in the agents or content you submit to the Platform. By submitting agents or content to the Platform, you grant Spooky Labs a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and display such content for the purposes of operating and improving the Platform.

Feedback

If you provide any feedback, suggestions, or ideas regarding the Platform, you grant Spooky Labs an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use such feedback in any way Spooky Labs deems appropriate.

Spooky Labs Intellectual Property

The Platform and all materials therein, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, and all Intellectual Property Rights related thereto, are the exclusive property of Spooky Labs or its licensors.

Data and Analytics

Performance Data

Performance data, metrics, and analytics generated by the Platform regarding your agent submissions are owned by Spooky Labs. We reserve the right to use this data to improve our services, create benchmarks, and for any other lawful purpose.

Leaderboards and Public Display

By submitting agents to the Platform, you consent to the public display of performance results and rankings on leaderboards. Spooky Labs reserves the right to determine how, where, and to what extent such information is displayed.

Disclaimers

No Investment Advice

The Platform is for backtesting and educational purposes only. Nothing contained in the Platform constitutes investment, legal, tax, or other advice. Spooky Labs does not endorse any investment strategy, and the Platform should not be relied upon for making financial decisions.

No Guarantee of Results

Spooky Labs makes no warranties or representations about the accuracy, reliability, or performance of agents evaluated on the Platform. Historical backtesting results are not indicative of future performance in live trading environments.

As-Is Service

THE PLATFORM AND ALL CONTENT, MATERIALS, INFORMATION, SERVICES, AND PRODUCTS PROVIDED ON THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SPOOKY LABS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPOOKY LABS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

IN NO EVENT SHALL SPOOKY LABS' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO SPOOKY LABS IN THE LAST SIX (6) MONTHS OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

Indemnification

You agree to defend, indemnify, and hold harmless Spooky Labs, its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Platform
  • Your agent submissions
  • Your violation of any rights of another
  • Any financial or trading decisions made based on information or agents from the Platform

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect.

Changes to Terms

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
